TRANSFORMING GOVERNANCE

REMUNERATION COMMITTEE

How Dalcour Maclaren is transforming governance to drive trust, transparency & better decision making

In 2025, Dalcour Maclaren undertook a comprehensive review of its governance structure to check that it was fit for a rapidly growing business.

A key outcome was the full refresh of the DM Remuneration Committee Terms of Reference. We believed it (along with our leadership structure) needed modernising to deliver stronger oversight, strategic alignment and diversity of thought.

The Committee's remit was realigned to focus not only on reward governance, but also on long-term value creation and alignment with organisational goals. The result will strengthen the Committee’s ability to:

  • Evaluate reward structures through a fairness, equity and ESG lens
  • Ensure reward outcomes reinforce DM’s business strategy and culture
  • Improve transparency and consistency around decision-making

At the same time, we strengthened the diversity and capability of our Board and Senior Leadership Team (SLT), enabling more rigorous challenge to the status quo and better risk-based decisions.
